Legal Agreement: Terms of Service
At Boone Dog Office Space our ultimate goal is to provide our members with a safe, clean, enjoyable professional work atmosphere.
By entering Boone Dog Office Space as a member, you are agreeing to Boone Office Space’s terms of service, included hereafter. Any other verbal or written agreement does not negate or override this membership agreement, unless signed and agreed to by both The Boone Dog Office's management team and the member.
The terms of service in this agreement apply to all members.
Above all else all members must respect the privacy and productivity of all other members.
Please do not come to Boone Office Space if you are contagiously ill. Respect your fellow members! Management reserves the right to ask you leave if you are not well according to provincial guidelines. Together we can stop the spread of illness and keep each other safe!
- General
In consideration of the mutual benefits exchanged by Boone Dog Office Space (the “Company”) and the undersigned (“You”, the “Member”, collectively the “Parties”), the Parties hereby agree, warrant, consent and are covenant to the following terms, conditions and representations:
Guests
Members can invite guest. Guests are always welcome, invited guests are the responsibility of the inviting member. See the guest’s policy attached.
2. Behaviour
All Members along with any invited guests agree to respectfully conduct themselves according to the policies that Boone Office Space have implemented in this agreement. At Boone Dog Office Space’s sole discretion, your membership may be terminated if you or your guest’s behaviour violates any such policies. This includes, but is not limited to, the following agreements:
- Respect all other members
- You agree to use the space for your business purposes only and not for personal use or unrelated events/meetings, unless permitted in advance by Boone Dog Office Space management.
- You will not solicit any members or attempt to sell any products or services to members while in the space, without each member’s explicit permission.
- You agree to sign-in any guests who are here on your behalf and accept any damages as if they were your own.
- You understand that if damages happen as a result of you or your guests’ leaving doors unlocked or of holding doors open to non-members that you are liable for damages and or losses to the space and or other members.
- You agree to protect your member log-in information, keeping it secure and ensuring only you have access to the member portal and digital keys.
3.Membership Details
You are subscribing to a recurring membership category (as indicated on your invoice) with Boone Dog Office Spaces.
You will be billed on a monthly basis for your membership. Unless otherwise agreed to membership payments will be made by credit card.
A one (1) month deposit will be charged on your first invoice for Private Office Rentals Memberships.
Boone Dog reserves the right to increase rates once per year with 2 months notice.
Event and Meeting room bookings: during regular operations, members who cancel a paid booking with less than 24 hours notice of their event will be charged a $50 cancellation fee.
4.No Tenancy
Boone Dog Office Space provides "shared office space services" on an “as is” basis as a membership service, not as a lease of real property, and disclaim all warranties and conditions, whether express, implied or statutory, including, but not limited to, merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, to the extent permitted by law.
You hereby understand, agree and warrant that you are not a tenant and Boone Dog Office Space is not a landlord and there is no tenancy relationship whatsoever as defined in any case law or legislation, rules, or regulations promulgated by the Province of Ontario or otherwise.
5.No Residency
Boone Dog Office Space is a commercial facility. Using the location or your membership for the purpose of establishing a personal residence is not permitted. You hereby understand, agree and warrant that you are not a residential tenant at Boone Dog Office Space. You acknowledge that while at Boone Dog Office Space I will be filmed on camera and my entrance and exit times will be recorded. As a member you agree that Boone Dog Office Space is not liable for any personal belongings, or damage to your personal property while at Boone Dog Office Space.
6.Termination
You agree not to use the shared office space for any purpose that is unlawful, disrespectful or that could damage, disable or impair the property of the company or of other members, or prevents other members from enjoying the Shared Office Space, or that would damage the reputation of the company. If you choose to cancel your recurring membership (private office or any other recurring monthly account), you are required to give 60 days advance notice of cancellation.
You also agree not to use the shared office space in connection with:
(a) Lottery contests, pyramid schemes, chain letters, junk email, spamming or similar behaviour;
(b) Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others;
(c) Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information;
(d) Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which is unlawful or infringes another’s rights.
(e) Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the hardware or property of the Space or any other members
7.Non-Disclosure
In your presence at the Shared Space, you may learn of confidential information of the Company or of its members. Such confidential information may include business information, trade secrets, technology, processes, customers and prospects that is intended to be confidential and proprietary. You hereby agree and consent to not disclose information that you obtain that was intended to remain confidential.
8.Repairs and Maintenance
The Company shall maintain the Shared Office Space in good repair and working order. If you notice any problems requiring repair, please notify the Company and it shall be remedied promptly.
9.Liability
You hereby waive and hold harmless the Company, its members, officers, directors, shareholders, contractors and employees (the “Releasees”) from any claims, liability, actions, or suits with respect to any damages, injuries or losses you suffer to your person or property, whatsoever, including as a result of negligence or gross negligence on the part of the Releasees, including but not limited to any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for lost profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other loss) arising out of or in any way related to the Company’s services or otherwise.
10. General
This agreement may not be assigned without the prior written consent of the Company. The laws of the Province of Ontario shall govern the terms of this agreement and any disputes between the Parties. The Parties hereby attorn to the courts in the Niagara Region. In the event that a provision in this agreement is determined to be invalid or unenforceable, the remaining provisions of this agreement shall be unaffected and shall remain in full force and effect.
